Terms & Conditions

1) Scope of services

Optivendor may provide support for cross‑border growth on Amazon and related marketplaces, including consulting, PPC management, listing/SEO optimization, reporting and automation. The scope is defined in the proposal, project plan or written agreement.

2) Client responsibilities

• Provide required account access and accurate information
• Share requested assets (images, information, pricing, etc.) in a timely manner
• Respond within a reasonable time for approvals
• Act in compliance with platform policies and applicable regulations

3) Pricing & payments

Pricing may be structured as a monthly service, a time‑bound program, or a project engagement. Payment terms and due dates are specified on the proposal/invoice. Taxes and statutory deductions apply per applicable law.

4) Intellectual property

Unless otherwise agreed in writing, report templates, automations, documentation and process designs prepared by Optivendor remain Optivendor’s intellectual property. Deliverables are provided for the client’s internal use and may not be copied or redistributed to third parties without permission.

5) Confidentiality & data processing

The parties agree to protect trade secrets and confidential information. For general principles regarding personal data processing, the Privacy Policy applies.

6) Limitation of liability

Results may be impacted by marketplace algorithm/policy changes, competition, inventory/logistics and pricing fluctuations. Optivendor does not provide a “sales guarantee”. Services are delivered with professional best effort and transparent reporting.

7) Termination / cancellation

For monthly engagements, termination conditions follow the notice periods defined in the proposal or written agreement. For project work, completed milestones may be evaluated accordingly.

8) Disputes and governing law

The parties aim to resolve disputes through good‑faith negotiation first. Governing law and jurisdiction are determined by the written agreement between the parties.
